Program Description 

No matter the size and scope, company exits are often the most complex and intense transactions a CFO can experience. In this session, our panel of CFOs will reveal the real stories behind their recent company exits. From surprises along the way to lessons learned, our speakers will share their advice and best practices on how to strategically plan, manage and execute a successful exit. 

Learning Objectives:

  • Understand how capitalization may impact a company’s growth and eventual exit strategy

  • Understand the key financial and operational elements a buyer will be investigating in an effort to adequately prepare for the process.

  • Understand the typical elements of due diligence a buyer will be requesting

  • Understand the key elements of a deal book used to market the company to potential buyers or public investors

  • Learn what documents you must have in order to form a smooth diligence and sale or IPO process

Eric Mersch joined FLG in 2018, bringing nearly 20 years of executive finance experience, including twice serving in public company Chief Financial Officer roles. Eric has served as a senior advisor and interim CFO to venture-backed SaaS companies, specializing in Strategic Planning, Equity & Debt Fundraising, FP&A/Business Intelligence, and Accounting & Control.

Lee Kirkpatrick, former CFO of Twilio

Lee brings over 25 years of experience in finance and operations at high growth and technology companies. Lee was most recently CFO of Twilio for seven years, where he left in December of 2018. Lee joined as the second finance employee and lead Twilio’s IPO, secondary offering, convertible debt raise and the acquisition of Sendgrid (SEND) on top of his operational and strategic duties. Prior to joining Twilio, Lee was CFO of SAY Media (formerly Videoegg), COO and CFO of Videoegg, COO of Kodak Imaging Network, CFO of Ofoto and held various senior finance and operating roles during nine years at Reuters America. Lee earned his BS in Business Administration from the University of Southern California, and his MBA from Columbia University. He currently serves on the Board of Lincoln Healthcare.

Dan Vaughn, Associate General Counsel - M&A Legal Lead, Intel Corporation

Dan Vaughn is an experienced corporate, M&A and securities attorney with over 20 years’ experience in top international law firms and as in-house counsel at multinational public technology companies.

Rob Steele is a Managing Director in Global Corporate Investment Banking at Bank of America Merrill Lynch.  Rob has 26 years of investment banking experience having worked on over 75+ IPOs and Equity Offerings, 25+ M&A Transactions and 50+ Debt Capital raises. Rob has worked across multiple sectors including Consumer & Retail, Industrials, Technology, Hospitality and Real Estate.
